User Agreement

PLEASE READ THIS USER AGREEMENT CAREFULLY. This User Agreement (“Agreement”) is a legally binding contract between you and GlobalXBPay, Inc. (“GlobalXBPay,” “we,” or “us”) that governs your use of our money transfer and remittance services, as well as related features and content (collectively, the “Service”). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement. If you do not agree, you may not use the Service.

IMPORTANT: THIS AGREEMENT INCLUDES A MANDATORY ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 17 BELOW. EXCEPT WHERE PROHIBITED BY LAW, DISPUTES UNDER THIS AGREEMENT MUST BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION, NOT IN COURT. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION AS EXPLAINED IN SECTION 17.

In addition, by using the Service you confirm that you have reviewed and accept our Privacy Policy (which describes how we collect and use your data) and our Terms of Service (general terms for using our website). This User Agreement, together with those policies, forms the entire agreement governing your use of GlobalXBPay’s Service.

1. About GlobalXBPay

GlobalXBPay, Inc. (referred to as “GlobalXBPay,” “we,” “us,” or “our”) is a U.S.-based business providing international money transfer (“remittance”) services. We are licensed and regulated as required in the United States to perform money transmission. Our headquarters is located in 539 W. Commerce St #3592 Dallas, TX 75208, USA. When this Agreement mentions “GlobalXBPay,” it includes our employees, directors, affiliates, successors, and assignees. We sometimes use “GlobalXBPay” interchangeably to refer to our Service as well.

2. About You (Customer Eligibility)

When we say “you” or “your” in this Agreement, we mean you, the individual person who has registered for or is using the Service, and anyone authorized to act on your behalf. You agree that you are entering this Agreement in your personal capacity (not on behalf of another person or a business, unless explicitly permitted by us for business accounts). To use the Service, you must:

By using the Service, you represent and warrant that you meet all these eligibility requirements. If we discover that you do not meet or have violated these requirements, we may suspend or terminate your use of the Service immediately.

3. The Service – Overview

GlobalXBPay provides an online platform (via our website and mobile app) that allows users to send money to designated recipients in other countries quickly and securely. When you open a GlobalXBPay account, you can initiate a “Transaction” to transfer funds (in U.S. dollars or another supported currency) to a recipient in a supported destination country. We will process the payment, convert currency if applicable, and arrange for disbursement to your recipient through our network of banks, payout partners, or other authorized agents in the destination country.

Not a Bank Account: Your GlobalXBPay account allows you to send payments, but it is not a bank account or a stored-value/prepaid account. Funds are pulled from your funding source (such as your bank or card) for each Transaction and delivered to your recipient; we do not hold onto your money except briefly during the execution of a Transaction. Any “transaction history” displayed in your account is for record-keeping purposes only, not a balance of funds with us.

No Interest Paid: Because we are not a bank and your account is not a deposit account, any money held temporarily by GlobalXBPay while processing a Transaction will not earn interest for you. You grant GlobalXBPay the right to retain any interest that might be earned on funds in the process of transmission (which is generally minimal given the short time we hold funds).

4. Registration and Account Security

To use the Service, you must create an account by providing required information (such as your name, email, phone number, residential address, date of birth, and potentially last four digits of your SSN or other identifying information). You agree to provide accurate and current information, and to update it promptly if it changes. We may also ask you to create security credentials, such as a password and security questions. You are responsible for keeping your account credentials confidential. Do not share your password or verification codes with anyone. If you suspect your GlobalXBPay account has been compromised or accessed without authorization, you must notify us immediately.

We may offer additional security features like multi-factor authentication; we strongly encourage you to use these features to protect your account. We will never ask you for your password via phone or email. Any communications that do so are likely fraudulent and should be reported to us.

Each customer is generally allowed to have only one personal account, unless explicitly permitted by GlobalXBPay (for example, separate business and personal accounts if we offer business services). You may not create an account using someone else’s identity or information, and you cannot transfer your account to another person.

5. Identity Verification and Compliance Checks

Because GlobalXBPay is a regulated financial service, we are required by law to verify the identity of our users and to implement anti-money laundering controls. You authorize GlobalXBPay, directly or through third parties, to make any inquiries we consider necessary to validate your identity, background, and source of funds. This may include:

If you do not provide the requested information or if we cannot verify your identity or source of funds to our satisfaction, we may refuse to open an account, discontinue providing the Service to you, or block or cancel Transactions. All personal information we collect will be handled in accordance with our Privacy Policy.

6. How to Use the Service (Sending Money)

Funding a Transaction: To send money, you must provide a valid payment method. GlobalXBPay may allow funding via Crypto Wallet, bank account (ACH transfer), debit card, credit card, or other payment methods as we support. You authorize us to debit your chosen payment method for the amount of any Transaction you request, plus any applicable fees and charges (collectively, the “Total Transaction Amount”). If paying by Stable Coin (USDC or USDT) Crypto transfer, you authorize us to initiate an electronic debit from your Crypto account for the Total Transaction Amount. If paying by bank transfer, you authorize us to initiate an electronic debit from your bank account for the Total Transaction Amount. If paying by card, you authorize charges to your card for the Total Transaction Amount. You represent that you are an authorized user of the payment method you provide.

Transaction Review: After you submit a transaction request, GlobalXBPay may review it before processing. This could involve verifying that you have sufficient funds or that the payment method charge is successful, confirming recipient details, and running the transaction through our compliance and fraud screening. We reserve the right to decline or delay any Transaction if it triggers any of our internal flags or if required by law. We may reach out to you for additional information or confirmation before finalizing the transfer.

Exchange Rates: If your Transaction involves currency conversion (for example, you send USD and the recipient receives another currency), the exchange rate will be disclosed to you at the time of transaction authorization. We apply an exchange rate that includes a margin (spread) on top of the wholesale rate. This means the rate you get may be less favorable than the mid-market rate, and GlobalXBPay earns revenue from this margin. The exchange rate is locked in once you submit your transfer, so the recipient will receive the exact foreign amount you were shown (subject to the transfer not being canceled or delayed beyond any specified guarantee period).

Fees: You agree to pay any service fees for each Transaction as disclosed to you before you confirm the transfer. Fee amounts may vary based on factors like the send amount, destination country, payout method, or promotional offers. All fees will be communicated in a clear manner (for example, a flat transfer fee or percentage). In some cases, a third-party intermediary (such as the recipient’s bank) might charge additional fees (like incoming wire fees or mobile wallet cash-out fees) that are beyond GlobalXBPay’s control; we are not responsible for such third-party charges. We will, however, do our best to inform you of any known potential intermediary fees before you send.

Transaction Limits: For security and legal compliance reasons, GlobalXBPay imposes limits on the amount and frequency of transfers you can send. These limits may be set on a per-transaction basis, daily, monthly, and/or per recipient basis. Limits can vary depending on your usage history, the verification information you have provided, and other risk factors. We may adjust your limits from time to time (for example, raising your send limit after you successfully complete certain verification steps, or lowering limits if we deem necessary). Current limits can be found in your account interface or FAQ. Do not attempt to break up a large amount into multiple smaller transfers to circumvent these limits; this is against our policies and could result in account suspension.

Scheduling and Recurring Transfers: If we offer the ability to schedule transfers for a future date or set up recurring transfers, such features will be subject to this Agreement. You are responsible for ensuring that funds will be available in your designated payment method on the scheduled date. You can cancel a scheduled future or recurring transfer by following the instructions in your account (provided you do so within the permitted time frame).

7. Recipient and Payout

Recipient Information: When sending money, you must accurately provide the recipient’s full name and required payout details (such as their bank account number, mobile wallet number, or other contact information, depending on the delivery method). It is crucial that this information is correct, as GlobalXBPay will rely on what you provide. We are not responsible for funds sent to an incorrect recipient or account due to errors in the information you supplied, although we will attempt to assist you in recovery if possible.

Delivery Methods: The Service offers various payout options depending on the destination country—for example, direct deposit to the recipient’s bank account, cash pickup at a partner location, credit to a mobile wallet, or home delivery in some cases. Available options will be shown when you set up the Transaction. The recipient might need to take certain actions to claim the funds (e.g., show identity documents for cash pickup). It is your responsibility to inform your recipient to pick up the funds or take required steps promptly.

Delivery Times: We strive to deliver funds to your recipient as fast as advertised (many transfers are completed within minutes or hours). However, the timing can depend on many factors including the payout method, destination country, banking hours, and the time we receive your payment. Any delivery time frames provided (e.g., “within one business day”) are estimates, not guarantees, although certain transfers may come with a delivery guarantee or we may refund fees if the transfer is delayed beyond a stated time. GlobalXBPay is not responsible for delays due to circumstances beyond our control, such as delays in the banking system, power or communication outages, verification requirements, or compliance reviews.

Notification to Recipients: We may send your recipient a notification (such as an SMS or email) that you have sent them funds and how they can retrieve them. By providing your recipient’s phone or email, you consent to our disclosure of your name and that you are sending them an amount (we will not spam your recipient; communications will be limited to transactional notices or as required to facilitate the payout).

Unclaimed Funds: If a recipient does not collect or claim the funds within the time frame required by the payout partner or within a reasonable period, the transfer may be canceled. In such cases, we attempt to notify you and arrange for a refund of the principal amount (typically via reversing the original payment method). Certain fees may still apply if the transfer was available but not picked up due to recipient inaction, subject to applicable laws. Additionally, funds that remain unclaimed or undeliverable for an extended period may be escheated (transferred) to the state government as unclaimed property, as required by law. We will make reasonable efforts to contact you or the recipient before that happens.

8. Prohibited Activities

You agree that you will only use GlobalXBPay’s Service for lawful purposes and in accordance with this Agreement. The following activities (among others) are strictly prohibited and constitute a violation of this Agreement:

GlobalXBPay reserves the right to refuse to process or to cancel any Transaction that we believe, in our sole discretion, is in violation of this Agreement, any applicable law or regulation, or which might expose us, our partners, or our users to harm (financial, legal, or reputational). Engaging in any of the above Prohibited Activities may result in immediate suspension or termination of your account, and we may report you to law enforcement or other authorities as appropriate.

9. Right to Cancel, Error Resolution, and Refunds

Cancellation Rights: If you have scheduled a Transaction or just initiated one, you have the right to request a cancellation and refund of that Transaction as long as the funds have not yet been disbursed to your recipient. Under U.S. law (CFPB Remittance Rule), if you are a consumer sending funds for personal, family, or household purposes, you can cancel for a full refund (including any fees) within 30 minutes of payment authorization. After 30 minutes, we’ll attempt to cancel at your request, but if the funds have been paid out or converted, cancellation may not be possible. To cancel, you should log into your account and follow the cancellation instructions for the specific transfer, or contact our customer support as soon as possible with your transaction details. If the transaction is successfully canceled, we will refund the amount to your original payment method within 3–5 business days or as soon as practicable.

Error Resolution: You have a right to dispute errors in your transaction. If you think there is an error, such as the wrong amount was paid out, the money never arrived, or it was not made available by the promised date, you must contact us within 180 days of the date we promised to the sender that the funds would be available to the recipient. You can contact GlobalXBPay Customer Support by email or phone to report the issue. When you do, provide your name, contact information, the transaction reference number, and explain why you believe there was an error.

We will investigate your claim and determine whether an error occurred. We will report the results to you generally within 90 days or as required by law (often sooner). If we confirm an error, we will promptly correct it, which may include refunding any fees or charges you paid and ensuring the recipient receives the correct amount. If we find no error or a different amount than alleged, we will send you a written explanation. You have the right to request copies of any documents we relied on in our investigation.

Refunds: If a transaction is not completed or is canceled, you may be entitled to a refund. For example:

Refunds will generally be made to the same payment method used for the original transfer, unless otherwise agreed. Certain state laws or regulations may provide additional cancellation or refund rights; we will adhere to all applicable laws governing refunds. For full details on error resolution and cancellation policies, you can refer to our Disclosure Statement (provided at the time of your transaction or available on our website).

10. Customer Service and Complaints

When you contact us, please provide your name, phone number, and the transaction reference (if applicable) along with the details of your question or concern. We will do our best to resolve your issue promptly. If you are not satisfied with the resolution provided by our customer support, you may also contact the consumer protection division of the state financial regulatory agency where you reside, or file a complaint with the U.S. Consumer Financial Protection Bureau (CFPB) or other relevant regulator. We will provide regulatory contact information upon request and in the transaction receipt/disclosure documents as required by law.

11. GlobalXBPay’s Right to Suspend or Terminate

We reserve the right to refuse any transaction or to suspend/terminate your GlobalXBPay account at any time, for any reason permitted by law, with or without notice. This may occur if, for example, we suspect you of violating this Agreement or any applicable law, if you pose an unacceptable level of risk (e.g., too many failed payment attempts or chargebacks, indications of fraud or suspicious activity), or if your account is subject to any pending litigation or government inquiry. We may also close your account if it has been inactive for a long period or if we decide to discontinue the Service.

If we terminate or suspend your account, we will typically notify you of our actions (unless legally prohibited). Termination of your account will not affect any rights or obligations incurred prior to the termination. If any funds are left in a canceled transaction or account at the time of termination, we will attempt to return them to you, unless prohibited (for example, if we are required by law to hold or surrender them to a government authority).

You may also request to close your account at any time by contacting Customer Support. Upon closure, we will cancel any pending transactions (if possible) and remove your ability to initiate new transactions. Even after account closure, this Agreement will remain applicable to any disputes or issues arising from your use of the Service.

12. Disclaimers of Warranties

The GlobalXBPay Service is provided on an “as is” and “as available” basis, without any express or implied warranties. While we strive to provide a reliable and secure service, we do not guarantee that the Service will always be available, uninterrupted, timely, secure, or error-free. GlobalXBPay specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you in full. In such cases, any warranties required by law are limited in duration to the shortest legally permitted period.

13. Limitation of Liability

To the maximum extent permitted by law, GlobalXBPay (including its affiliates, officers, directors, employees, and agents) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service. This limitation applies to any damages arising from any failure to deliver, mistake, omission, delay, or interruption in the Service (including any claim for loss of interest or exchange rate changes), whether based in contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

In no event will GlobalXBPay’s aggregate liability for claims arising out of this Agreement or the Service exceed the amount of fees earned by GlobalXBPay in connection with your use of the Service in the three (3) month period immediately preceding the event giving rise to the claim. If your claim relates to a specific transaction, our liability is limited to the amount of the payment (and associated fees) for that transaction.

The limitations in this section do not purport to limit liability that cannot be limited under applicable law. For instance, these limitations may not apply to you for personal injuries or certain statutory liabilities. However, to the extent that we may limit our liability, we do so.

If you are dissatisfied with the Service or do not agree with any part of this Agreement, your sole and exclusive remedy is to stop using the Service.

14. Indemnification

You agree to indemnify and hold harmless GlobalXBPay, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorneys’ fees) that arise out of or relate to:

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In that case, you agree to cooperate with our defense of such claim.

15. Electronic Communications and Consent

Electronic Delivery of Communications: By entering into this Agreement, you consent to receive all communications from GlobalXBPay in electronic form. Communications include this User Agreement and any amendments, transaction receipts and confirmations, account statements, disclosures, notices (legal or regulatory), and any other information that we provide related to your use of the Service. We may provide these communications via email, by posting them on our website or in your account portal, through in-app notifications, or via other electronic means.

Updating Your Contact Information: It is your responsibility to keep a valid email address and other contact information on file in your GlobalXBPay account profile so that you can receive communications. We are not liable for any missed communication if your contact information is incorrect or not updated.

Withdrawal of Consent: You have the right to withdraw your consent to receive communications electronically by contacting us at help@globalxbpay.com. However, if you withdraw consent, we reserve the right to close your account or charge you additional fees for paper copies, as electronic communications are a condition of using the Service. Any withdrawal of consent will be effective only after we have had a reasonable period to process your request.

Printing and Saving Communications: We recommend that you print or electronically save a copy of all communications for your records. You will need a computer or mobile device with internet access, a current web browser, and the ability to open PDF documents to access and retain these communications.

16. Changes to This Agreement

GlobalXBPay may amend or update this User Agreement from time to time. If we make material changes, we will notify you by email or by providing a notice through our Service (for example, via your online account or our mobile app) and by updating the “Effective Date” at the top of this Agreement. Any such changes will become effective no earlier than the date posted in the notice (or as otherwise required by law).

Your continued use of the Service after a change to the Agreement means you accept the new terms. If you do not agree to the revised terms, you must stop using the Service and may close your account without penalty (any pending transactions would be handled as per the prior terms unless law requires otherwise). The most current version of the User Agreement will always be available on our website. We encourage you to review the Agreement periodically.

17. Dispute Resolution – Arbitration and Waivers

Please read this section carefully. It affects your rights and will have a substantial impact on how claims between you and GlobalXBPay are resolved.

17.1. Agreement to Arbitrate: Except for matters that may be taken to small claims court, you and GlobalXBPay agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the use of the Service (collectively, “Disputes”) will be resolved through binding arbitration on an individual basis. This includes any claims relating to marketing or communications from us, or the collection or use of your personal data, to the extent such claims are not otherwise covered by our Privacy Policy.

17.2. Waiver of Class Actions: You and GlobalXBPay each waive the right to a trial by jury or to participate in a class action or class arbitration. Disputes must be resolved only on an individual basis, and neither you nor GlobalXBPay may join or consolidate claims of others or arbitrate any claim as a representative or member of a class or in a private attorney general capacity.

17.3. Arbitration Procedure: The arbitration will be administered by [American Arbitration Association (AAA)] (or another reputable arbitration provider upon mutual agreement) under its Consumer Arbitration Rules. The arbitration may be conducted by telephone, based on written submissions, or in person in the county where you live or another mutually agreed location. The arbitrator will have the authority to grant any relief that would be available in court under law, including damages and injunctive or declaratory relief, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.

We will pay the arbitration provider’s filing, administration, and arbitrator fees to the extent required by law (for example, for claims under a certain dollar threshold). For higher amounts, fee allocation will be determined by the applicable arbitration rules (or we may elect to cover fees in our discretion). Each party is responsible for their own attorneys’ fees unless the arbitrator awards otherwise under applicable law or contract.

17.4. Opt-Out Right: You may opt out of this arbitration agreement by sending us a written notice of your decision within 30 days of first accepting this User Agreement. The notice must include your name, address, the email and phone number associated with your GlobalXBPay account, and a clear statement that you want to opt out of the arbitration agreement. Send the opt-out notice by email to help@globalxbpay.com or mail it to: GlobalXBPay Legal Department – Arbitration Opt Out, 539 W. Commerce St #3592 Dallas, TX 75208, USA. If you opt out, the arbitration agreement will not apply to you, but the rest of this Agreement will continue to apply.

17.5. Severability of Arbitration Provisions: If any portion of this Section 17 (Dispute Resolution) is found to be unenforceable or unlawful, the unenforceable portion will be severed, and the remaining provisions will continue in full force and effect. However, if the class action waiver in subsection 17.2 is found to be unenforceable, then the entirety of this Section 17 will be null and void, and in that case, the parties agree that exclusive jurisdiction and venue described in Section 18 below will govern any action arising out of or related to this Agreement.

This Dispute Resolution section shall survive the termination of your relationship with GlobalXBPay.

18. Governing Law and Venue

Except to the extent inconsistent with or preempted by federal law (including the Federal Arbitration Act), this Agreement and any Dispute arising out of or relating to it or the Service shall be governed by the laws of the State of [Washington], USA, without regard to its conflict of law principles. (If you reside in a different state, consumer protection laws of your state may provide certain rights in addition to those provided under Washington law.)

For any claims that are not subject to arbitration or small claims court (for instance, if the arbitration clause is found unenforceable or if you have opted out of arbitration), you and GlobalXBPay agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in [King County, Washington] for the purpose of litigating such claims.

You waive any objection to such venue as inconvenient or inappropriate, and agree not to seek to transfer or change that venue.

19. Miscellaneous Provisions

Entire Agreement: This User Agreement, along with the Privacy Policy, Terms of Service, and any other policies or documents expressly incorporated by reference, constitutes the entire agreement between you and GlobalXBPay with respect to the Service. It supersedes any prior agreements or understandings (whether oral or written) concerning the same subject matter.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permissible under law. Our failure to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

Assignment: You may not transfer or assign any rights or obligations you have under this Agreement without our prior written consent. GlobalXBPay may transfer or assign this Agreement, or any right or obligation under it, at any time to an affiliate or as part of a merger, acquisition, corporate reorganization, or sale of substantially all our assets, and you consent to such transfer or assignment.

No Agency: You and GlobalXBPay are independent contractors, and nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between us.

Survival: Any provisions of this Agreement that by their nature should survive termination of this Agreement (including but not limited to provisions on liability, arbitration, indemnity, and jurisdiction) will survive its termination.
